1. Introduction

Welcome to Ravdeus ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our website, services, and any related applications operated by Ravdeus, a sole-proprietorship digital agency based in Bangladesh.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.

These Terms comply with Bangladesh's Digital Security Act 2018, Information and Communication Technology (ICT) Act 2006, and international standards including GDPR, CCPA, and other applicable data protection regulations.

2. About Ravdeus

Ravdeus is a digital agency based in Dhaka, Bangladesh, providing comprehensive digital solutions including:

• Digital Marketing Services (SEO, PPC, Social Media Marketing)
• Web Development (Custom Web Development, E-Commerce Solutions)
• Design Services (UI/UX Design, Brand Identity, Graphic Design)
• Media Buying (Digital and Traditional Media)
• Event Management (Planning, Design, Onsite Management)

3. Service Agreement

3.1 Service Provision

All services provided by Ravdeus are subject to separate service agreements that will be executed between Ravdeus and the client. These Terms supplement but do not replace specific service agreements.

3.2 Project Scope

Project scope, deliverables, timelines, and pricing will be clearly defined in individual project proposals and contracts. Any changes to project scope must be agreed upon in writing by both parties.

3.3 Intellectual Property

Upon full payment, clients will own the final deliverables created specifically for their project. Ravdeus retains the right to use general methodologies, techniques, and tools developed during the project for other clients.

4. Payment Terms

4.1 Payment Schedule

Payment terms will be specified in individual service agreements. For Bangladeshi clients, our payment structure is as follows:

• Projects ≤ 20,000 BDT: Full advance payment required before project commencement
• Projects > 20,000 BDT: 50% advance payment before project commencement, 50% upon project completion and delivery
• Ongoing Services: Monthly billing cycles with advance payment

4.2 Currency and Taxes

All payments are processed in Bangladeshi Taka (BDT) unless otherwise specified. Applicable taxes will be added as per Bangladesh tax regulations.

4.3 Late Payments

Late payments may incur additional charges as specified in the service agreement. Services may be suspended for accounts with outstanding balances.

5. Client Responsibilities

5.1 Information Provision

Clients must provide accurate, complete, and timely information necessary for project execution. Delays caused by incomplete information may affect project timelines.

5.2 Content Approval

Clients are responsible for reviewing and approving all content, designs, and deliverables within agreed timeframes. Delays in approval may impact project schedules.

5.3 Compliance

Clients must ensure all provided content complies with applicable laws and regulations, including Bangladesh ICT laws and international standards.

6. Limitation of Liability

To the maximum extent permitted by Bangladesh law, Ravdeus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

7. Data Protection and Privacy

Ravdeus is committed to protecting client data in accordance with Bangladesh's Digital Security Act 2018 and international data protection standards. Our detailed privacy practices are outlined in our Privacy Policy.

We implement appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction.

8. Intellectual Property Rights

8.1 Client Content

Clients retain ownership of all content, materials, and intellectual property provided to Ravdeus. Clients grant Ravdeus a limited license to use such materials for project execution.

8.2 Ravdeus Intellectual Property

Ravdeus retains ownership of all proprietary methodologies, software, tools, and general knowledge developed independently of client projects.

9. Termination

9.1 Termination by Client

Clients may terminate services with 30 days written notice. Payment for completed work and any cancellation fees will be calculated as per the service agreement.

9.2 Termination by Ravdeus

Ravdeus may terminate services immediately for breach of contract, non-payment, or violation of these Terms.

10. Force Majeure

Ravdeus shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or other force majeure events.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Bangladesh.

12. Changes to Terms

Ravdeus reserves the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last modified" date. Continued use of our services after changes constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
